External Description:

EA is looking for a strong commercial Legal Counsel (Commercial) who can step into most any commercial transaction with confidence, and who has a passion for supporting marketing teams as well as specialized knowledge of advertising technology.  As part of the North America Publishing and Product team, this Legal Counsel will serve as the primary commercial legal partner for multiple business groups within EA including, (i) EA’s media group that oversees in and around game advertising and brand partnerships, including direct advertising sales, sponsorships, supply-side platform and ad exchange partners, (ii) EA’s marketing teams that engage with demand-side advertising platform partners, and (iii) EA’s workplace and employee services team, which oversees EA’s facilities and events. This position is based either in our Seattle, Washington office or Los Angeles, California office.

Responsibilities include:

- Draft and negotiate advertising technology, media, advertising sales, sponsorship, promotion and data protection agreements

- Draft and negotiate a wide range of commercial agreements, including complex equipment lease agreements, complex professional services and consulting agreements, construction, venue and event agreements

- Manage outside counsel concerning significant real estate leases and related transactions; draft and negotiate lease extensions, option exercise, and other real estate agreements and documents

- Develop creative solutions to support business needs and objectives

- Work with other attorneys (and non-attorney legal professionals) within the group to develop and maintain policies, contract templates, training, and guidelines to ensure legal compliance and operational efficiency

-Provide legal advice on a on a wide range of legal matters in the areas of marketing, advertising technology, facilities, and events

 Required skills and experience:

  • B.A/B.S., J.D. degrees and California State Bar membership with 4+ years of experience with a law firm/in-house providing services for advertising technology clients and/or relevant in-house experience with advertising technology companies, or companies utilizing advertising technology on both the buy and sell side
  • Strong understanding of privacy issues arising in the context of marketing legal support, including GDPR and COPPA requirements and privacy policy compliance
  • Specialized knowledge of advertising technology -- including industry trends, technical operations, and data privacy, consumer protection, and other legal issues arising out of adtech use -- is a significant plus
  • Familiarity with standard form insertion orders (IAB forms 2.0 and 3.0) and variations and advertising agency agreements
  • Significant knowledge and experience with the negotiation and preparation of a wide range of sophisticated commercial agreements, including advertising network and exchange agreements and data protection agreements
  • Ability to manage outside counsel actively and effectively
  • Ability to work with cross-functional business and legal teams
  • Excellent communication skills and ability to establish strong working relationships with business owners
  • Ability to work independently to manage entire contract process from initial contact, negotiation, execution
  • Ability to handle a high volume of work with minimal supervision with the ability to multi-task and prioritize workload efficiently and effectively
