Position Title: Attorney 2

External Description:

Electronic Arts is hiring an M&A/Corporate Attorney to focus primarily on EA’s acquisitions and strategic corporate transactions.  This position reports to the Vice President, Legal Affairs. 

Responsibilities:

  • Support EA’s Corporate Development team and cross-functional teams to deliver timely, practical and actionable advice on acquisitions and other strategic corporate transactions;
  • Advise on deal structure, conduct and manage due diligence, draft and negotiate deal documentation, coordinate deal closings, and manage deal integration;
     
  • Support ’34 Act compliance, corporate governance matters and other special projects;
  • Structure, draft and negotiate a wide variety of commercial contracts for EA’s studios and/or other business partners as required; and
     
  • Work closely with business affairs, studios and other business teams as necessary to address operational and legal issues as they arise in the course of commercial transactions.

Requirements:

  • Practicing attorney with 4-6+ years experience in M&A at a law firm or in-house legal department;
  • Strong familiarity with securities and corporate laws, including Delaware corporate law and NASDAQ requirements;
  • Excellent interpersonal, oral/written communication and presentation skills;
     
  • Team player with the ability to work well with internal legal colleagues, outside legal advisors, and business clients cooperatively and efficiently;
     
  • Hard working, high integrity, good judgment, well organized and able to manage numerous projects simultaneously under deadline pressure; flexible and willing to work extended hours when necessary;
     
  • Interest in the video games industry and related areas of law; and
     
  • J.D. and bar membership required.
